Porthus appoints new directors.
Lier, Belgium – Zemblaz NV (NYSE Alternext Brussels: ALPTH) (formerly denominated Porthus NV, "Porthus"), a leading provider of Global Trade Management solutions, today announced that, on 19 March 2010, the Board of Directors decided to co-opt five new directors in accordance with article 15 of Porthus' articles of association. These directors will continue the mandates of five directors of Porthus, following the resignation of all of its members with immediate effect on 19 March 2010.
The directors appointed are representatives of The Descartes Systems Group Inc. which recently acquired 96.17% of the outstanding shares of Porthus following a conditional voluntary offer launched by its wholly-owned subsidiary Dexxcartes BVBA, as announced on 16 March 2010. On the same date, it was announced that Dexxcartes BVBA will proceed with a public buy-out offer starting on 19 March 2010 and ending on 12 April 2010.
The following directors have been appointed, by way of co-optation:
- Mr John Scott Pagan, director and chairman of the board.
Mr John Scott Pagan is Executive Vice President, Corporate Development & General Counsel of The Descartes Systems Group Inc. - Mr Arthur Mesher, director.
Mr Arthur Mesher is CEO and director of The Descartes Systems Group Inc. - Ms Stephanie Ratza, director.
Ms Stephanie Ratza is CFO of The Descartes Systems Group Inc. - Mr Ed Gardner, director.
Mr Ed Gardner is Senior Vice President, Corporate Development of The Descartes Systems Group Inc. - Mr Andrew Brown, director.
Mr Andrew Brown is Commercial Director of The Descartes Systems Group Inc.
Porthus will include the confirmation of the appointment of the co-opted directors in the agenda of the next shareholders' meeting of Porthus.
The following directors resigned on 19 March 2010:
- Newton Engineering BVBA, represented by Mr Peter Hinssen, Chairman and director;
- Mr Luc Burgelman, CEO and director;
- Mr Stijn Bijnens, director;
- EMOR BVBA, represented by Mr Francis Rome, director;
- Altaline Technologies NV, represented by Mr Jos Sluys, director; and
- Treecon BVBA, represented by Mr Rudi De Meyer, director.
Luc Burgelman will continue to exercise general day to day management responsibility for the business.
